Terms of Service and Sale Agreement

1. Hardware Sales and Risk Acknowledgment

We act as a retailer and distributor of specialized cryptocurrency mining hardware (including, but not limited to, ASIC miners and Bitaxe units).

• No Financial Advice: We sell physical hardware, not financial instruments or investment contracts. We make no representations, warranties, or guarantees regarding the profitability, ROI, or financial yield of mining cryptocurrency.
• Hardware Risks: Cryptocurrency mining hardware operates under high thermal and electrical loads. You acknowledge that improper use, inadequate cooling, or poor electrical wiring can result in hardware failure, fire hazards, or property damage. You assume all risks associated with the operation of this hardware.

2. Cryptocurrency Payments and "Sat-for-Sat" Refunds

We process payments using secure cryptocurrency gateways. Because cryptocurrency is volatile, we operate on a strict cryptocurrency denomination policy.

• Payment Finality: Due to the immutable nature of blockchain technology, transactions are considered final once confirmed on the network.
• Sat-for-Sat Refund Policy: If a return or refund is authorized, refunds are issued strictly in the exact cryptocurrency amount (e.g., satoshi-for-satoshi) originally received by us, regardless of any fluctuations in fiat exchange rates (e.g., USD value) between the time of purchase and the time of the refund. We are not responsible for, nor do we honor, fiat value discrepancies.
• Network Fees: You are entirely responsible for miner/network fees required to initiate your payment. Any authorized refunds will be sent minus the network fees required to broadcast the return transaction.

3. Warranties, Returns, and Hardware Modification

We stand behind the hardware we sell, offering a limited warranty against manufacturing defects. However, this warranty is strictly conditional.

• Mandatory Troubleshooting: Before any Return Merchandise Authorization (RMA) is issued, you must cooperate with our support team. This includes providing system logs, photographs of the hardware setup, and performing diagnostic tests as requested. Failure to cooperate will result in the denial of your return request.
• Voiding the Warranty (Overclocking & Tinkering): Our hardware is tested at factory settings. Your warranty is completely and immediately voided if the hardware is:
  • Overclocked or over-volted beyond factory specifications.
  • Flashed with unauthorized, third-party, or custom firmware.
  • Physically modified, including altered cooling systems, replaced thermal paste, or bypassed power delivery limits.
  • Subjected to environmental extremes (excessive humidity, dust, or heat).

4. Shipping, Customs, and Export Controls

• Import Duties: For international orders, you are the importer of record. You are solely responsible for all customs duties, import taxes, and clearing fees. Refusal to pay customs fees does not entitle you to a refund.
• Export Controls: In compliance with United States law, we do not ship to countries, territories, or individuals under embargo or sanctions by the Office of Foreign Assets Control (OFAC) of the US Department of the Treasury.

5. Disclaimer of Manufacturer Liability

For products not manufactured directly by us, we act solely as a distributor. Any claims regarding product liability, software bugs, or core silicon defects must be directed to the original manufacturer. We disclaim any liability for damages arising from manufacturer defects.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall Bitaxe Store, our officers, directors, or employees be liable for any indirect, punitive, incidental, special, or consequential damages, including without limitation lost profits, lost cryptocurrency, lost data, or costs of procurement of substitute goods, arising out of or in any way connected with the use of our hardware or website.

7. Governing Law and Dispute Resolution

These Terms and any separate agreements whereby we provide you Services or Products shall be governed by and construed in accordance with the laws of the United States and the State of North Carolina, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in North Carolina.
